End User License Agreement (EULA)

This End User License Agreement ("EULA") is a legal agreement between you ("User" or "Licensee") and The Note Audio ("Licensor") concerning the use of The Note Audio software products ("Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not install or use the Software.

1. Grant of License

Subject to the terms of this agreement, The Note Audio grants you a limited, non-exclusive, non-transferable license to install and use the Software on your devices for personal or commercial music production purposes. The Software is licensed, not sold.

1.1 Free License

Software distributed as "Free" may be installed and used on an unlimited number of devices owned or controlled by you, at no cost. Free software is provided under the same terms as paid software regarding restrictions and disclaimers described in this EULA.

1.2 Personal License

A Personal License grants the designated individual the right to install and use the Software on up to three (3) devices simultaneously. The license is tied to the individual and may not be shared with or used by any other person.

1.3 Site License

A Site License grants an institution or organization the right to install and use the Software on the number of devices specified at the time of purchase.

2. Restrictions

You may not: reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software; modify, adapt, translate, or create derivative works based on the Software; rent, lease, lend, sell, sublicense, or distribute the Software to any third party; remove, alter, or obscure any proprietary notices, labels, or marks on the Software; use the Software on a server for automated processing (e.g., online mastering services) without prior written permission from The Note Audio.

3. Ownership

The Software is protected by copyright laws and international treaty provisions. The Note Audio retains all right, title, and interest in and to the Software, including all intellectual property rights therein. This EULA does not convey to you any ownership interest in the Software.

4. Updates and Upgrades

The Note Audio may release updates (minor version changes, e.g., 1.0 to 1.1) that include bug fixes and minor improvements. These updates are provided free of charge to existing licensees. Major version upgrades (e.g., version 1.x to 2.x) may require a new license or an upgrade fee at The Note Audio's discretion.

5. License Verification

The Software may periodically contact The Note Audio's servers to verify the validity of your license. This process collects a device identifier and license key to check compliance with the terms of this EULA. If the license is found to be invalid or in violation of these terms, access to the Software may be restricted.

6. Trial Versions

The Note Audio may offer time-limited trial versions of certain Software. Trial versions are fully functional but will cease to operate after the trial period expires. After expiration, you must purchase a license to continue using the Software.

7. Termination

This EULA is effective until terminated. The Note Audio may terminate your license without notice if you fail to comply with any term of this EULA or engage in fraudulent or unauthorized use of the Software. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. THE NOTE AUDIO DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE NOTE AUDIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF THE NOTE AUDIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE NOTE AUDIO'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE.

10. Refund Policy

For paid software, The Note Audio offers a 14-day money-back guarantee from the date of purchase. If you are unsatisfied with the Software, contact us within 14 days of purchase to request a full refund. Refunds are not available after the 14-day period. Free software is not subject to refund.

11. License Transfer

Personal Licenses may be transferred to a third party, provided that you permanently delete all copies of the Software from your devices and notify The Note Audio of the transfer. The new licensee must agree to the terms of this EULA. The Note Audio may charge a transfer fee at its discretion.

12. Third-Party Components

The Software may include third-party libraries or components that are subject to their own license terms. VST is a trademark of Steinberg Media Technologies GmbH. Audio Units is a trademark of Apple Inc. AAX is a trademark of Avid Technology, Inc.

13. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising under this EULA shall be subject to the exclusive jurisdiction of the courts of the Republic of Korea.
